Terms of Use

1. Introduction

These Terms of Use (“Terms”) govern access to and use of the LOKIA platform (the “Platform”) operated by LOKIA Management Sàrl, 2 Parc d’Activités Capellen, 8308 Capellen Mamer, Luxembourg (“LOKIA”, “we”, “us”, “our”). By registering for or using the Platform, you (“you”, “user”, “participant”) agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the Platform.

2. Access and Registration

  • Access to the LOKIA Platform is restricted to approved professional users by invitation or application only.
  • We reserve the right to approve, deny, or revoke access at our discretion.
  • You agree to provide accurate and complete information during registration and to keep your account credentials confidential.
  • You are responsible for any activity under your account unless proven otherwise.

3. Use of the Platform

You may use the Platform solely for the evaluation, feedback, and collaboration on audiovisual content and related materials. You agree not to:

  • Share your login or access with unauthorized third parties
  • Use the Platform for illegal, unethical, or commercial exploitation purposes outside the scope of LOKIA’s activities
  • Copy, distribute, or misuse any confidential content hosted on the Platform
  • Attempt to access or manipulate other users’ data
  • Upload or submit content that is defamatory, infringing, offensive, or violates the rights of others

4. Intellectual Property

  • All content provided by LOKIA on the Platform (including logos, designs, media, text, software) is the property of LOKIA or its licensors and is protected by intellectual property laws.
  • Any content you upload remains your or your company’s property, but you grant LOKIA and authorized users a limited license to view, evaluate, and discuss the content for the intended purposes.
  • No IP rights are transferred unless agreed in writing.

5. Confidentiality

By accessing the LOKIA platform, you agree to the following confidentiality obligations:

  • All content, data, and information accessible on this platform is confidential and may only be used for its intended purpose: the internal evaluation, review, and potential collaboration on projects within the LOKIA network.
  • You may not copy, forward, download, photograph, or share any material from this platform outside of your own organization without prior written approval from LOKIA Management Sàrl.
  • You may only grant access to colleagues within your organization who are bound by similar confidentiality obligations and who have a legitimate need to review such materials. You are responsible for ensuring they comply with these terms.
  • You agree to treat all materials and communications on this platform with the same care you would use for your own company's most sensitive data, and at minimum, with reasonable care under applicable laws.
  • All intellectual property remains the property of its original owner. No license or usage right is granted unless explicitly stated.
  • Any breach of confidentiality will be treated as a serious violation and may result in legal action, termination of access, and claims for damages.
  • LOKIA reserves the right to monitor and audit usage of its platform to ensure compliance with these terms.

6. Privacy & Data Protection

Your use of the Platform is subject to our Privacy Policy. We comply with the General Data Protection Regulation (GDPR) and other applicable laws in handling your personal data.

7. Termination

  • You may request the termination of your account at any time.
  • We reserve the right to suspend or terminate your account if you violate these Terms, misuse confidential information, or your access is no longer aligned with LOKIA’s business purpose.
  • Upon termination, access will be revoked and content submissions may be archived or deleted.

8. Disclaimer & Limitation of Liability

  • The Platform is provided “as is” without warranties of any kind.
  • We do not guarantee uninterrupted access or the accuracy of platform content.
  • To the fullest extent permitted by law, LOKIA disclaims any liability for damages resulting from your use of the Platform.

9. Changes to These Terms

We may update these Terms from time to time. If material changes are made, you will be notified by email or upon your next login. Continued use of the Platform constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Grand Duchy of Luxembourg. Any disputes shall be subject to the exclusive jurisdiction of the courts of Luxembourg City.
